1. Acceptance of Terms

By accessing or using OTL.SHUTTLE ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Service. These terms apply to all dealerships, staff members, and other users of the platform.

2. Description of Service

OTL.SHUTTLE is a web-based shuttle dispatch management platform that enables automotive dealerships to manage driver assignments, track trips, communicate with customers via SMS, and analyze shuttle operations performance.

3. Account Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Ensuring your staff members use the platform in compliance with these terms
  • Providing accurate dealership and contact information

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Send unsolicited SMS messages to customers who have not consented
  • Attempt to access other dealerships' data
  • Reverse engineer, copy, or resell the Service
  • Upload malicious code or interfere with platform operations

5. SMS Messaging

By using the SMS features of OTL.SHUTTLE, you confirm that:

  • You have obtained appropriate consent from customers to receive SMS messages
  • You will honor opt-out requests promptly
  • Your use of SMS complies with applicable telecommunications laws including TCPA (USA) and CASL (Canada)

6. Data and Privacy

Your use of the Service is subject to our Privacy Policy. You retain ownership of your dealership data. By using the Service, you grant us a limited license to process your data solely to provide the Service.

7. Service Availability

We strive for high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or experience downtime. We are not liable for losses resulting from service interruptions.

8. Limitation of Liability

To the maximum extent permitted by law, Out The Lot shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service. Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

9. Termination

Either party may terminate the agreement at any time. Upon termination, your access will be revoked and data will be retained for 30 days before deletion, unless a longer retention period is required by law.

10. Changes to Terms

We may update these terms from time to time. We will notify account holders of material changes via email. Continued use of the Service after changes constitutes acceptance of the new terms.

11. Governing Law

These terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles.
